COE not issued
Review the proposed Japanese business, investment, employees, office and documentary evidence.
Has your Business Manager visa application, Certificate of Eligibility (COE), change of status or residence renewal been refused in Japan? A refusal does not necessarily end every future option, but reapplying with the same unresolved problems can lead to another refusal. We help foreign entrepreneurs identify the application issues, assess current residence deadlines and prepare a documented response under Japan’s revised Business Manager rules.
Review the proposed Japanese business, investment, employees, office and documentary evidence.
Check the applicant’s existing residence permission, deadlines and alternative lawful options.
Assess business continuity, tax and insurance compliance, transitional treatment and urgent stay issues.
First identify which authority made which decision. COE non-issuance, refusal of a change of status, refusal of an extension and visa refusal at a Japanese embassy are different procedures. The notice, application record and current immigration status determine the next practical step.
| Application refused | What this usually means | Main question before reapplying |
|---|---|---|
| Business Manager COE not issued | The requested Certificate of Eligibility was not issued. The applicant may still be overseas; the COE is not itself an entry visa. | Did the proposed enterprise and applicant meet the entry standards, and can those issues genuinely be corrected? |
| Change to Business Manager refused | The requested change was not approved. Any ability to remain under another status must be checked against the actual residence period and decision. | Does the present status still permit stay, and is a different route or timely departure required? |
| Business Manager renewal refused | The request to extend an existing residence period was denied. Status and departure deadlines require immediate individual review. | Were business activity, compliance, financial condition or transitional criteria the issue? |
| Japanese consular visa refused | A visa issuance decision by an embassy/consulate is distinct from COE issuance and in-country immigration permission. | Which consular rules and application records apply? Do not assume the COE reapplication process is the correct remedy. |
These are possible review points, not a diagnosis of your particular refusal. Immigration may consider several factors together. Your first task is to compare the actual legal criteria with the facts and the documents previously submitted.
| Issue | Typical concern | Potential evidence to review |
|---|---|---|
| Business capital / ¥30 million | The company lacks qualifying capital or the applicant counts sales, personal funds or expenses incorrectly. | Company register, contributions, balance sheet, bank records and actual legal structure. |
| Full-time eligible employee | No employee satisfies the legally prescribed full-time and status/nationality criteria. | Employment contract, payroll, work schedule and qualifying residence-status evidence. |
| Japanese-language ability | Applicant or relevant full-time employee cannot establish the required Japanese-language level. | JLPT N2, eligible BJT score or another officially accepted form of proof. |
| Management degree / career | Applicant has only a bachelor’s degree or cannot prove the necessary qualifying management experience. | Eligible graduate/professional degree or employer certificates detailing genuine managerial duties. |
| Office and management activity | Mailbox-only address, unsuitable premises or nominal director with little real responsibility. | Lease, business-use evidence, operations and management-decision records. |
| Business plan and viability | Unrealistic forecasts, vague customers, incomplete funding evidence or missing independent plan review. | Updated business plan, transactions, actual demand, financial model and accepted expert assessment. |
| Financial / legal compliance | Unpaid taxes or insurance, repeated losses, labor-law problems or required permits missing. | Tax and insurance records, company accounts, compliance documents and realistic improvement steps. |
| Inconsistencies or credibility | Contradictory filing dates, unexplained funds, false records or a mismatch between role and business. | Truthful explanations and authentic corroborating records; never fabricated or backdated materials. |
For ordinary new Business Manager applications made under the reforms effective October 16, 2025, simply showing a company with ¥5 million capital is generally no longer sufficient. The revised conditions work together, and meeting only one does not compensate for another missing requirement.
For a corporation, generally qualifying paid-in capital or contributions. A sole proprietor uses a different evidence-based business-investment calculation.
For the headcount test, eligible persons generally include Japanese citizens, Special Permanent Residents and qualifying residence-status holders in Appended Table II.
B2-equivalent Japanese, an eligible advanced degree or three years of qualifying management, an appropriate office and a credible plan may also be required.
For qualifying people already living in Japan on Business Manager status before the reform, immigration established transitional assessment for renewal applications made during the first three years following October 16, 2025 (through October 16, 2028). Falling short of a revised standard alone does not automatically settle the application. Business operations, compliance and prospects of meeting the new rules can matter.
Even after that period, the Immigration Services Agency says that certain existing business owners with good business performance, proper tax compliance and a credible prospect of meeting the revised standards by the next renewal may receive an overall assessment. This is not a guaranteed extension, and other reasons for refusal may still exist.
The amount of money mentioned in the application is not always the correct legal measure. A company’s registered paid-in capital, shareholder loans, reserves, cash balance, purchase price and annual sales serve different purposes. A capital increase must be genuine, effective and supported by corporate records.
| Claim in a refused case | What should be checked |
|---|---|
| “Our annual sales exceed ¥30 million.” | Turnover is not the same as the qualifying corporate capital threshold. |
| “I have ¥30 million in personal savings.” | A personal balance is not automatically paid-in capital of the Japanese business. |
| “We spent ¥20 million on rent and salaries.” | Corporations cannot simply add operating expenses to capital. Sole proprietor calculations differ. |
| “I paid ¥30 million to buy shares.” | The purchase price paid to an existing shareholder differs from a contribution made to the company. |
| “We will increase capital after approval.” | A promised future capital increase is not necessarily proof the present requirement has been met. |
When a real capital or contribution change is necessary, confirm the commercial registration, tax/accounting implications and immigration timing with the appropriately authorized professionals. Our office supports immigration documentation within its professional scope.
A company’s losses are not always an automatic ground for refusal; however, repeated losses, negative net assets, lack of customers, serious arrears or inactivity can undermine a renewal or new application. The right response depends on whether the business is viable and whether problems have been genuinely addressed.
Collect financial statements, current sales, receivables, cash flow, real contracts and a credible explanation of the causes of loss.
Check filing and payment records for applicable taxes, pension/health coverage, employment insurance and labor insurance.
Confirm that the restaurant, hotel, online regulated-goods business or other operation holds required authorizations.
A reapplication letter can be useful where it accurately explains what immigration previously questioned, what facts or documents have changed, and how each issue is now supported. But a better-written letter cannot replace missing capital, actual staff, a lawful office or genuine management activity.
We can review what is available and explain whether an evidence-focused reapplication plan or a different lawful next step is more appropriate.
Request a Refusal Review in English| Question | Cautious guidance |
|---|---|
| Is there a further two-month stay after refusal? | Do not assume so. The statutory pending-application special period is tied to an undecided timely application and other conditions. The decision may end it. |
| Can I submit another application tomorrow? | A new application may sometimes be possible, but admission of a new filing, status and timing depend on the case. Repeating unchanged defects is not a remedy. |
| Can I keep managing the company? | Only if the person has a valid status and the activity remains authorized. An intended future reapplication is not work permission. |
| Will I receive departure-preparation status? | Do not assume a particular Designated Activities period or continued work permission. Any status and instructions must be confirmed individually. |
| What if I am still overseas? | COE non-issuance does not grant Japanese residence rights; assess the business and evidence before considering a fresh filing. |
Depending on the genuine circumstances, options may include preparing a new Business Manager application with corrected evidence, continuing under a different current lawful residence status, or assessing another appropriate immigration category. A different label for unchanged activities is not a solution.
Relevant when the business and applicant actually meet the criteria and earlier evidence problems have been resolved.
Potentially relevant only when the applicant independently qualifies and will actually perform activities authorized by that status.
In some circumstances the enterprise may need capital, staffing, permits or documentation improved before any appropriate new filing.
Check whether this was a COE, change, renewal or consular decision and whether any residence deadline needs immediate attention.
Review the business plan, financial records, office evidence, employee documents and explanations actually filed.
Identify the current criteria, filing date, relevant transition and specific areas that may not have been proven.
Verify genuine corrections to capital, staff, qualifications, compliance, operations or other relevant matters.
Discuss an explanation letter only, a new COE/change/extension application or the need for another specialist.
Where engaged, support a properly evidenced application or explanation without guaranteeing the authority’s decision.
For an initial enquiry, summarize sensitive documents rather than sending full passport numbers, bank account credentials or unrelated private information. We will explain the secure documents needed for formal review.

|---|---|---|
| Reapplication reason letter / improvement statement | From ¥55,000 | Document-only review and drafting; no separate immigration filing included. |
| Business Manager COE application | From ¥165,000 | Separate full application service for an eligible overseas case. |
| Change of status to Business Manager | From ¥165,000 | Separate full application service for a qualifying in-Japan case. |
| Standard Business Manager renewal | From ¥66,000 | Ordinary renewal without major changes; a refused/complex case requires an individual quotation. |
| Detailed refusal review / complex evidence | Individual quotation | Scope agreed after examining available documents and urgency. |
The figures are separate starting professional fees, not a combined price. An application after refusal may involve substantial additional work and is individually quoted. Government permission fees on approval (where applicable), translations, certificates, specialist reviews, postage and travel are separate. COE applications ordinarily have no immigration filing charge. Fees for permitted changes and extensions vary under the October 1, 2026 government fee revision.
Share the decision type, current country or status, visa expiry if applicable and the records you have. We will explain the possible service scope and fees before paid work.
Request a Free Initial ConsultationA fresh application may be possible, but the proposed business, applicant and documents must be reviewed first. A second filing without resolving the original concerns may also fail.
There is no single universal waiting period covering every COE, change, renewal and consular visa decision. The type of refusal and relevant procedure must be confirmed.
Not every refusal has the same appeal or review route. A new application is not automatically a formal appeal. Any administrative litigation or formal challenge should be discussed with a qualified lawyer.
Not necessarily. A refusal does not itself bar every future application, but immigration eligibility and lawful business operation must be assessed independently.
No. For a corporation, qualifying capital or contributions are generally the relevant measure; personal savings or projected revenue are not automatically enough. Other requirements also apply.
Only if the employee falls within the specified eligible categories and actually works full time. Employees on activity-based work statuses generally do not satisfy the mandatory headcount test.
The Japanese-language requirement can sometimes be satisfied through another accepted credential or a qualifying full-time employee. The actual proof and distinct employee criteria must be reviewed.
A mailbox address alone is generally inadequate for proving a suitable operating establishment. A genuine office arrangement that satisfies the current standard may be necessary.
A better plan may help when the issue was insufficient evidence or unrealistic assumptions, but it does not replace missing capital, employee, office or applicant eligibility requirements.
Losses are not always an automatic refusal. The actual operations, finances, continuity and compliance must be reviewed, particularly where losses recur or the company has negative net assets.
Compliance problems can negatively affect a decision. Review the actual obligations, arrears and legitimate corrective steps with the appropriate authorities; later payment alone does not guarantee approval.
No. Transitional treatment means noncompliance with a new standard alone is not automatically decisive for qualifying existing residents. Other problems or the full circumstances can still justify refusal.
Do not assume that. A special pending-application period, when available, is tied to an application that remains undecided and its statutory conditions. Check the actual decision and lawful residence deadline immediately.
Only if you independently meet the conditions of a different status, the planned activities match it and the current immigration and timing situation permits an appropriate application.
No. A consular visa refusal is a distinct decision from the Japanese immigration authority’s COE assessment. Different procedures can apply.
